1. Agreement to Terms

By accessing or using AuditRails ("Service"), operated by AuditRails Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

AuditRails provides tamper-proof audit logging as a service, including event ingestion APIs, cryptographic hash chaining, immutable storage, compliance dashboards, and related SDKs and tools.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, including API keys. You must notify us immediately of any unauthorized use.

4. Subscription Plans

The Service is offered under subscription plans (Starter Trails, Framework Trails, Compliance Trails) with varying features, limits, and pricing. Plan details are available at auditrails.io/pricing. We may modify plan features or pricing with 30 days’ notice.

Every plan includes a 90-day free trial. Annual billing is available on all plans.

5. Payment and Billing

Paid plans are billed monthly in advance. All fees are non-refundable except as required by law. Failed payments may result in service suspension after a grace period. You are responsible for all applicable taxes.

6. Data Ownership

You retain all rights to the data you submit to AuditRails. We process your data solely to provide the Service as described in our Data Processing Agreement. We do not sell, share, or use your data for purposes other than operating the Service.

7. Service Level Agreement

AuditRails targets 99.9% uptime for paid plans, measured monthly (excluding scheduled maintenance). In the event of SLA breach, affected customers may request service credits. Enterprise customers receive a formal SLA with defined remedies.

8. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to reverse-engineer, decompile, or disassemble the Service
Interfere with or disrupt the Service or its infrastructure
Exceed rate limits or circumvent usage restrictions
Store regulated data (PCI cardholder data, PHI) in metadata fields without appropriate controls

9. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by AuditRails Inc. and protected by intellectual property laws. Your subscription grants a limited, non-exclusive license to use the Service during the subscription term.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDITRAILS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold AuditRails harmless from claims arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the subscription with 30 days’ notice. We may suspend or terminate accounts that violate these Terms immediately. Upon termination, your data will be retained for your plan’s retention period, after which it is permanently deleted.

13. Changes to Terms

We may update these Terms with 30 days’ notice via email or dashboard notification. Continued use after changes take effect constitutes acceptance. Material changes require explicit consent for Enterprise customers.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
